1. Geltungsbereich

Diese Allgemeinen Geschaeftsbedingungen (AGB) gelten fuer alle Vertraege ueber den Kauf und die Nutzung der Software "NoteWarp" zwischen dem Betreiber (siehe Impressum) und dem Kaeufer (nachfolgend "Kunde" genannt).

2. Vertragsgegenstand

Gegenstand des Vertrages ist die Ueberlassung der Software "NoteWarp" in Form einer einfachen, nicht-exklusiven und nicht uebertragbaren Lizenz zur Nutzung auf den eigenen Geraeten des Kunden.

Die Software umfasst:

  • Die VST3- und AU-Plugins fuer macOS und Windows
  • Die Dokumentation und Bedienungsanleitung

3. Lizenzbedingungen

3.1 Lizenzumfang

Der Kunde erhaelt eine zeitlich unbegrenzte, nicht-exklusive, nicht uebertragbare Lizenz zur Nutzung der Software auf seinen eigenen Geraeten. Die Lizenz berechtigt zur Installation und Nutzung auf mehreren Geraeten des Kunden, solange der Kunde der alleinige Nutzer ist.

3.2 Lizenzeinschraenkungen

Dem Kunden ist es untersagt:

  • Die Software zu dekompilieren, zu disassemblieren oder zurueckzuentwickeln (Reverse Engineering)
  • Die Software zu vermieten, zu verleihen, zu verkaufen oder weiterzugeben
  • Die Software kommerziell zu verbreiten oder oeffentlich zugaenglich zu machen
  • Die Software zu modifizieren oder abgeleitete Werke zu erstellen

3.3 Nutzung in kommerziellen Projekten

Die mit NoteWarp erstellten oder bearbeiteten MIDI-Dateien duerfen frei in kommerziellen Musikprojekten verwendet werden. Diese Lizenz bezieht sich ausschliesslich auf die Software selbst, nicht auf die damit erstellten Inhalte.

4. Vertragsschluss und Preise

Der Vertragsschluss erfolgt ueber die Plattform Lemon Squeezy. Mit dem Kauf und der Bezahlung kommt der Kaufvertrag zustande.

Der Kaufpreis wird zum Zeitpunkt des Kaufs angezeigt und ist sofort faellig. Alle Preise verstehen sich inklusive der gesetzlich gueltigen Mehrwertsteuer.

5. Lieferung und Aktivierung

Nach erfolgreicher Zahlung erhaelt der Kunde sofortigen Zugang zum Download der Software. Die Bereitstellung erfolgt in Form von Download-Links fuer die entsprechenden Betriebssysteme (macOS und Windows).

6. Widerrufsrecht

Wichtiger Hinweis: Aufgrund der Natur digitaler Produkte erlischt das Widerrufsrecht gemaess 356 Abs. 5 BGB mit Beginn des Downloads der Software, sofern der Kunde ausdruecklich zugestimmt hat.

7. Updates und Support

Der Kunde erhaelt kostenlosen Zugang zu allen Software-Updates, die waehrend der Nutzung der Software veroeffentlicht werden. Updates koennen Fehlerbehebungen, Verbesserungen und neue Funktionen enthalten.

Der Betreiber bietet E-Mail-Support fuer technische Fragen und Probleme. Der Support erfolgt nach bestem Bemühen.

8. Systemanforderungen

Die Mindestanforderungen fuer die Nutzung von NoteWarp sind:

  • macOS: macOS 14 Sonoma oder neuer, Intel oder Apple Silicon Prozessor
  • Windows: Windows 10 oder neuer (64-bit)
  • Fuer die DAW-Integration: Kompatible DAW-Software mit VST3- oder AU-Unterstuetzung

9. Datenschutz

Der Betreiber verpflichtet sich, alle personenbezogenen Daten des Kunden gemaess den geltenden Datenschutzgesetzen (insbesondere DSGVO) zu verarbeiten. Weitere Informationen finden Sie in unserer Datenschutzerklaerung.

10. Schlussbestimmungen

10.1 Anwendbares Recht

Fuer alle Rechtsbeziehungen zwischen dem Betreiber und dem Kunden gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des UN-Kaufrechts.

10.2 Salvatorische Klausel

Sollten einzelne Bestimmungen dieser AGB unwirksam oder undurchfuehrbar sein oder werden, beruehrt dies die Wirksamkeit der uebrigen Bestimmungen nicht.

1. Scope of Application

These Terms of Service ("Terms") apply to all contracts for the purchase and use of the "NoteWarp" software between the operator (see Imprint/Impressum) and the purchaser (hereinafter referred to as "Customer").

2. Subject Matter of the Contract

The subject matter of the contract is the provision of the "NoteWarp" software in the form of a simple, non-exclusive, and non-transferable license for use on the Customer's own devices.

The software includes:

  • The VST3 and AU plugins for macOS and Windows
  • Documentation and user manual

3. License Terms

3.1 License Scope

The Customer receives an unlimited, non-exclusive, non-transferable license to use the software on their own devices. The license entitles the Customer to install and use the software on multiple devices, as long as the Customer is the sole user.

3.2 License Restrictions

The Customer is prohibited from:

  • Decompiling, disassembling, or reverse engineering the software
  • Renting, lending, selling, or redistributing the software
  • Commercially distributing or making the software publicly available
  • Modifying the software or creating derivative works

3.3 Use in Commercial Projects

MIDI files created or edited with NoteWarp may be freely used in commercial music projects. This license refers exclusively to the software itself, not to the content created with it.

4. Contract Formation and Pricing

The contract is concluded through the Lemon Squeezy platform. The purchase contract is formed upon purchase and payment.

The purchase price is displayed at the time of purchase and is immediately due. All prices include applicable value-added tax (VAT).

5. Delivery and Activation

After successful payment, the Customer receives immediate access to download the software. Delivery is provided in the form of download links for the respective operating systems (macOS and Windows).

6. Right of Withdrawal (EU Customers)

Important Notice: Due to the nature of digital products, the right of withdrawal expires upon commencement of the software download, provided the Customer has expressly agreed.

7. Updates and Support

The Customer receives free access to all software updates released during the use of the software. Updates may include bug fixes, improvements, and new features.

The operator provides email support for technical questions and problems. Support is provided on a best-effort basis.

8. System Requirements

The minimum requirements for using NoteWarp are:

  • macOS: macOS 14 Sonoma or later, Intel or Apple Silicon processor
  • Windows: Windows 10 or later (64-bit)
  • For DAW integration: Compatible DAW software with VST3 or AU support

9. Privacy

The operator commits to processing all personal data of the Customer in accordance with applicable data protection laws (especially GDPR). For more information, please see our Privacy Policy.

10. Final Provisions

10.1 Applicable Law

All legal relationships between the operator and the Customer are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

10.2 Severability Clause

Should individual provisions of these Terms be or become invalid or unenforceable, this does not affect the validity of the remaining provisions.
